Terms and Conditions of Use of Electric-Trips Services

 

1. TERMS AND CONDITIONS - INTRODUCTION

By accessing the Electric-Trips website and/or using the services offered on the Electric-Trips website, you declare that you have read, understood, and accepted the terms and conditions set out below (including the privacy policy).

 

2. DEFINITIONS

  1. "Electric-Trips," "we," and "our" refer to Electric-Trips S.r.l. (innovative startup).

  2. "Site" means the website, including the mobile version, on which Electric-Trips services are displayed and/or made available.

  3. "Terms and Conditions" means the general terms and conditions of sale of tourist packages, available for consultation at the following link (general terms and conditions)

  4. "Owner" refers to the company Electric-Trips S.r.l., with registered office in Bologna (BO-40133), Via A.   5. "Service" means the features and functionality of the Site that can be used by the User; therefore, all services made available on the Electric-Trips website

  6. "Tourist Package" means the trip, vacation, or "all-inclusive" tour resulting from the combination, by anyone and in any way, of at least two of the following elements, sold or offered for sale at a flat rate: a) transportation; b) accommodation; c) tourist services not ancillary to transport or accommodation which, for the satisfaction of the tourist's recreational needs, constitute a significant part of the package; d) any other tourist service which does not form an integral part of one of the tourist services referred to in points a), b) and c) and is not a financial or insurance service;

  7. "Experience" means a single service referred to in the above points, requested separately and not offered in combination with other services.

  8. "Terms and Conditions" means these Terms and Conditions of Use of the Site, which constitute a legally binding agreement between the User and the Owner.

  9. "User," "you," "your," and similar terms refer to the natural or legal person using the Site.

  10. "Consumer User" means a natural person who requests a service offered by the Site for purposes unrelated to any business or professional activity carried out.

 

3. OWNER OF THE SITE AND RELATED SERVICES

4. PRESENTATION OF THE WEBSITE AND RELATED SERVICES

  1. The Website is dedicated to the presentation and purchase of tourist packages and/or experiences and allows the User to:

    • check the destinations and dates available with reference to the tourist packages/individual experiences presented by the Owner on the Website;

    • submit contact requests to the Owner to receive more information on the tourist packages presented;

    • configure their own Tourist Package by selecting the services they prefer;

    • complete the purchase of a Tourist Package.

  2. The Service is reserved for Users who are of legal age.

 

5. OPERATION OF THE WEB PORTAL

  1. Electric-Trips undertakes to use all reasonable efforts, in accordance with reasonable commercial standards, to ensure that the Site is always accessible. However, the administrator shall not be liable if, for any reason, the Site is unavailable, even for limited periods of time.

  2. In order to ensure the best possible use of the Service for the User, the Owner reserves the right to interrupt the Service for maintenance or system updates, informing the User through constant updates.

 

6. SUSPENSION AND CANCELLATION OF THE ACCOUNT

  1. The Owner reserves the right, at its sole discretion and without the exercise of this right giving rise to any claim of breach or violation of these Terms and Conditions, to suspend or cancel the User's account if it believes that:

    • the User has violated the Terms and Conditions;

    • Access to or use of the Service could cause damage to the Owner, other users, or third parties;

    • The use of the Site by the User may result in a violation of applicable laws or regulations;

    • In the event of investigations conducted as a result of legal action or involvement of public authorities;

    • The User's account is deemed by the Owner, at its sole discretion and for any reason, to be inappropriate or offensive or in violation of the Terms and Conditions.

    • There are reasonable grounds to believe that the Service is or may be used by unauthorized third parties;

    • There is an event of force majeure or circumstances which, at the sole discretion of the Owner, require emergency action or the resolution of security issues, dangers to the entire infrastructure and/or persons and/or property (in the latter case, the User account will be restored as soon as the Owner, at its discretion, considers that the cause of the suspension of the Service has been effectively removed or eliminated);

    • the User is involved, in any capacity, in any judicial or extrajudicial dispute of a civil, criminal, or administrative nature, and, in any case, if such dispute may involve actions or measures against the Service or the Owner;

    • The suspension is requested by any court of law.

  2. Any suspension of the account attributable to the User shall not prejudice the right of the Owner to claim compensation for any damage suffered.

 

7. REGISTRATION ON THE SITE

  1. The User is not required to register in order to explore and use the Site.

  2. Registration on the Site is done by filling out the forms provided therein, through which the User must provide the Owner with the mandatory data requested, accepting the relevant Privacy Policy and Terms and Conditions.

  3. Each registration on the Site is valid for a single User. Any identification code, password, username, or other information is an integral part of the security systems and procedures implemented by Electric-Trips to protect the system and the data stored on the Site. Therefore, they may not be disclosed to anyone, even within a specific group. Electric-Trips reserves the right to disable the identification code, password, and/or username of any user of the Site if, in the sole opinion of Electric-Trips, there has been any violation of any clause in the Terms and Conditions.

  4. Responsibility for the confidentiality and use of the password lies solely with the User, who assumes all risks.

  5. Registered Users may deactivate their account, request its cancellation, or discontinue use of the Service at any time by contacting the Owner directly. Upon cancellation of the account, the User will only be able to visit the Site but will not have access to additional services that require registration.

The User is free to explore the Site and, consequently, without providing any personal identification data. However, in order to access certain additional features of the Site, the User must provide the data requested in the respective forms, which may also include the User's age. In any case, the use of the additional features of the Site (i.e., calculation of the quote and purchase of the Tourist Package) is only permitted to Users who are of legal age. 8. USER BEHAVIOR AND MATERIAL

  1. With the exception of personal data, which will be processed in accordance with the privacy policy, any material or content transmitted or posted on the Website will be considered non-confidential and non-proprietary. Therefore, Electric-Trips assumes no obligation with regard to such information and materials and shall be deemed authorized to acquire copies, transmit, disclose, and use such information and materials, whether for commercial or other purposes.

  2. The User undertakes not to enter or transmit to or from the Site any material:

    • that is intimidating, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, likely to incite racial hatred, discriminatory or discriminatory, threatening, scandalous, inflammatory, blasphemous, in breach of confidentiality obligations, in breach of privacy or that may in any way cause annoyance or damage;

    • For which the necessary licenses or approvals have not been obtained;

    • That represents or encourages behavior that could be considered a criminal offense, that could give rise to liability on the part of anyone, that is in any way contrary to the law, public order or morality, or that infringes the rights of third parties anywhere in the world;

    • That causes damage (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, defective components, corrupted data or other software with harmful content or capable of causing damage). The User may not abuse the Site (at by way of example and without limitation, by carrying out hacking activities).

  3. Electric-Trips will actively cooperate with public authorities in charge of investigations and will comply with any order from a judicial authority requesting or ordering Electric-Trips to reveal the identity or locate the persons who transmit or insert material that does not comply with the law and/or the above provisions.

  4. In all cases referred to in points 8.2 and 8.3, Electric-Trips is entitled to proceed as set out in point 6.1.

 

9. INDUSTRIAL AND INTELLECTUAL PROPERTY – CONTENT AVAILABLE ON THE SITE – UNAUTHORIZED USE OF THE SITE

  1. Electric-Trips is the exclusive owner of the contents of the Website, including, but not limited to, texts, documents, images, logos, photographs, page layout, design, know-how, and products offered for sale. some of the aforementioned content may be covered by copyright, trademarks, patents, models and/or other industrial and intellectual property rights recognized by Italian and international law.

  2. The Owner grants the User, for the entire duration of the contract, a personal, non-transferable, and non-exclusive license, for personal and non-commercial purposes only and limited to the device used by the User for the use of such content. Therefore, the User is expressly prohibited from, by way of example but not limited to, copying and/or downloading and/or sharing (except within the limits set out below), modifying, publishing, transmitting, selling, sub-license, process, transfer/assign to third parties, create derivative works in any way from the content, including that of third parties, available on the Site, or allow third parties to do so through the User or their device, even without their knowledge.

  3. Where expressly indicated on the Site, the User may be authorized to download and/or copy and/or share certain content made available on the Site for personal use only, provided that all copyright notices and other notices provided by the Owner are faithfully reproduced.

  4. By sending, publishing, or displaying content on or through the Site, the User grants the Owner a license, free of charge, without territorial or time limits, non-exclusive, with the right to sublicense, to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any medium or distribution method currently available or developed in the future.

  5. The User may use services and content included on the Site provided by third parties, but must first review and accept the terms and conditions of such third parties. Under no circumstances shall the Owner be held liable for the proper functioning or availability, or both, of services and content provided by third parties.

  6. The User is not permitted to:

    • reverse engineer, decompile, disassemble, modify, or create derivative works based on the Site or any portion thereof.

    • Circumvent any computer systems used by Electric-Trips or its licensors to protect the content accessible through the Site.

    • Copy, store, modify, change, prepare derivative works, or alter in any way any of the content provided by the Site.

    • Use any robot, spider, search application, and/or site finder, or any other device, process, or automatic means to access, retrieve, scrape, or index any portion of the Site or its content.

    • Rent, license, or sublicense the Site.

    • Defame, abuse, harass, threaten or otherwise violate the rights (such as rights of privacy and publicity) of others.

    • Distribute or publish illegal, obscene, unlawful, defamatory, or inappropriate content.

    • Illegally appropriate another User's account.

    • Use the Site to approach users to promote, sell, or advertise in any way products or services of any kind through the Site.

    • Use the Site in any other improper manner that violates these Terms and Conditions. In this case, Electric-Trips is entitled to proceed as indicated in clause 6.1.

  7. All trademarks, figurative or nominative, and all other signs, trade names, service marks, word marks, trade names, illustrations, images, logos appearing on the Site relating to Electric-Trips are and remain the exclusive property of the Owner or its licensors and are protected by applicable trademark laws and international treaties. All trademarks, figurative or nominative, and all other signs, trade names, service marks, denominative marks, trade names, illustrations, images, logos relating to third parties and the content published by such third parties on the Site are and remain the exclusive property of such third parties or their licensors and are protected by applicable trademark laws and international treaties. The Owner does not own these intellectual property rights and may only use them within the limits and in accordance with the contracts concluded with such third parties and for the purposes outlined therein.

 

10. DISCLAIMER

  1. The User is responsible for the use of the Site independently and at his/her own risk, it being understood that Electric-Trips declines any responsibility for any damage or prejudice suffered in any way by the User as a result of accessing and using or downloading any material for any purpose from the Site, including viruses, malware, or other malicious electronic content.

  2. The Owner does not carry out any prior moderation of the content or links provided by third parties displayed on the Site. The Owner is not responsible for such content and its accessibility.

  3. Electric-Trips is not responsible for the content of any other website that may be accessed through links or multimedia links on the Site, it being understood that such links are provided solely to allow the User to access more complete information. The User is not authorized to create links to the Site without the prior written consent of Electric-Trips.

  4. Electric-Trips is also not responsible for: a) any losses that are a direct consequence of the violation of these Terms and Conditions; b) any loss of business opportunity and any other loss, even indirect, that may be suffered by the User (such as, by way of example and without limitation, loss of business, loss of revenue, income, profits or presumed savings, loss of contracts or business relationships, loss of reputation or goodwill); c) damage or loss resulting from interruptions or malfunctions of the Website due to events of force majeure or, in any case, events beyond the control and outside the sphere of control of the Owner, such as, by way of example and without limitation, failures or interruptions to telephone or electrical lines, the internet and/or other means of transmission, unavailability of websites, strikes, natural events, viruses and cyber attacks, interruption in the supply of third-party products, services or applications; d) incorrect use of the Website by the User or third parties.

  5. The User undertakes to hold the Owner (as well as any companies controlled by or affiliated with the Owner, its representatives, directors, agents, licensees, partners, and employees) from any obligation or liability, including any legal costs and expenses incurred in defending themselves in court, which may arise in relation to damages caused to other users or third parties in connection with content uploaded online, violation of the law or the terms of these Terms and Conditions.

  6. The Owner reserves the right to decide to interrupt or suspend the display of certain content published by the User or by third parties in the event that: a) complaints are received from other users; b) a report of intellectual property rights infringement is received; c) it deems it necessary to do so in anticipation of, or as a result of, legal action; d) such action is required by the Public Authority; e) it believes that such content, by remaining accessible through the Site, could put users, third parties, the availability of the Service, and/or the Owner itself at risk.

 

11. DATA PROCESSING

For information on the use of personal data, the User should refer to Electric-Trips' privacy policy, which is referred to herein and forms an integral and substantial part of the Terms and Conditions.

12. APPLICABLE LAW AND JURISDICTION

  1. The Terms and Conditions are governed by Italian law.

  2. Any dispute relating to these Terms and Conditions, their interpretation, execution, and validity shall be settled exclusively by the Court of Bologna, with the exception of disputes with the User who is a consumer, which shall instead be settled by the judicial authority of the place of residence or domicile of the User who is a consumer.

 

13. AMENDMENTS TO THESE TERMS

The Owner reserves the right to make changes to the Terms and Conditions at any time, giving notice to the User by publishing them on the Website. Users who continue to use the Website after the changes have been published accept the new Terms without reservation.

 

14. TRANSFER

The Owner reserves the right to transfer, assign, dispose of by novation or subcontract all or some of the rights arising from the Terms and Conditions, provided that the User's rights are not prejudiced. The User may not assign or transfer in any way their rights or obligations under the Terms and Conditions without the written consent of the Owner.

 

15. RELEASE OF IMAGE RIGHTS

The User grants the Owner, free of charge, the right to use, distribute, reproduce, process, modify, publish, communicate to the public, and transmit—on any analog, electronic, computer, and/or digital medium (including, by way of example, over-the-air transmission systems, cable, satellite, web, including on social network pages such as, by way of example, Facebook, Instagram, X, YouTube, Telegram) – their portrait and image contained in videos and images that may be produced during the tourist package purchased. The User also: a) transfers, free of charge, all rights of any kind and nature existing on such images, necessary for their commercial, promotional, and advertising use; b) expressly declares that they are fully satisfied with and that they have no claim of any kind or for any reason (e.g., of a financial nature) against the Owner, its assignees, and/or successors in title, or anyone who uses and exploits such images; c) guarantees the Owner the peaceful enjoyment of all rights transferred pursuant to the aforementioned article and indemnifies and holds harmless the Owner and/or its assignees from any and all actions and/or claims by third parties relating to the images and their use, assuming sole responsibility and cost for any related liability. In any case, the Owner shall not use the images in contexts or in ways that prejudice the honor, reputation, and decorum of the User portrayed and/or photographed.

 

16. COMMUNICATIONS

All communications relating to Electric-Trips must be sent using the contact information provided in the Terms and Conditions.

 

17. USE OF COOKIES

18. INEFFECTIVENESS AND PARTIAL INVALIDITY

In the event that any clause of these Terms and Conditions should be null, invalid, or ineffective, the aforementioned clause will be disregarded, while the remaining clauses will remain fully valid and effective.
